Acceptance of Terms

By accessing or using Contractg ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you may not use the Service.

Service Description

Contractg is an AI-powered contract management platform that enables users to upload, extract, organise, search, and analyse contract documents. The Service includes AI Genius, our contract intelligence engine, the Contract Genius Q&A assistant, folder organisation tools, expiry alert features, and team collaboration functionality.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We will endeavour to provide at least 14 days notice for material changes to core functionality.

Account Registration

You must create an account to use Contractg. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access to your account
• Be responsible for all activity that occurs under your account

You must be at least 18 years old to create an account. Accounts registered by automated means are prohibited.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Upload content that infringes third-party intellectual property rights
• Use the Service to process documents without proper authorisation from all parties
• Attempt to reverse-engineer, decompile, or extract the AI models or underlying technology
• Use automated tools to scrape, crawl, or stress-test the platform without written consent
• Share account credentials with individuals outside your organisation
• Use the Service to process content that is illegal, defamatory, or harmful

Intellectual Property

You retain full ownership of any contract documents and data you upload to Contractg. By uploading content, you grant us a limited, non-exclusive licence to process that content solely to provide the Service to you.

Contractg, the AI Genius engine, the platform interface, and all associated technology, code, and trademarks are owned exclusively by Contractg and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our technology without prior written consent.

Payment and Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except where required by applicable law or at our sole discretion.

We reserve the right to change pricing with 30 days notice to existing subscribers. Price changes do not apply retroactively to active subscription periods. If you do not accept a price change, you may cancel before the new price takes effect.

Failure to pay may result in suspension of your account. Accounts suspended for non-payment may be permanently deleted after 60 days.

Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. You represent that your use of the Service complies with all applicable privacy and data protection laws in your jurisdiction.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated outputs will be accurate or complete.

AI Genius provides analysis and insights to assist human decision-making. It is not a substitute for qualified legal advice. You should always have a qualified attorney review any contract before taking action based on AI-generated summaries or clause interpretations.

Limitation of Liability

To the fullest extent permitted by applicable law, Contractg shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to missed renewals, financial loss, or reliance on AI-generated content.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount paid by you to Contractg in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Contractg and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

Termination

You may terminate your account at any time by contacting support or through your account settings. We may terminate or suspend your account if you materially breach these Terms, with or without notice depending on the severity of the breach.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect, including ownership provisions, disclaimers, and limitations of liability.

Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless you are a consumer entitled to bring proceedings in your local courts under applicable consumer protection laws.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a prominent notice in the platform at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
